OpenReserve Wins Preliminary Approval for a U.S. Bank Charter

Most crypto firms settle for a trust license. OpenReserve went for the full national charter that lets a bank take deposits and hold bitcoin under one roof.

WASHINGTON — A crypto company just cleared the first gate to becoming a real bank. On September 2 the Office of the Comptroller of the Currency granted OpenReserve preliminary conditional approval to charter a national bank in Salt Lake City — less than five months after it applied. The distinction that matters is the kind of charter: OpenReserve went for a full national bank charter, not the limited trust license most crypto firms have settled for.

Trust charter versus the real thing

The difference is the whole story. Coinbase, Circle, Ripple, Paxos and BitGo all pursued national trust charters, which permit custody and fiduciary work but block the two things that define a bank: taking insured deposits and making loans. OpenReserve, backed by Andreessen Horowitz, applied for the full charter, which clears a path to deposits, lending, payments and treasury services alongside digital-asset work. If it opens, it will be a chartered national bank that also holds crypto — not a custody boutique with a bank-sounding name.

The approval is conditional and the conditions are steep. Before it can open, OpenReserve must raise at least $210 million in initial paid-in capital and hold a 12% Tier 1 leverage ratio for three years — a heavier cushion than most established banks carry. Preliminary approval is a licence to build, not a licence to operate.

Where bitcoin fits

Honesty about scope matters here, because much of OpenReserve’s pitch is not about bitcoin. Its planned menu includes deposits, lending and a separate subsidiary to issue and custody dollar-backed stablecoins — an application it has not yet filed. But the charter also covers nonfiduciary digital-asset custody, and that is the part that touches bitcoin directly: a federally chartered, deposit-taking bank holding bitcoin for customers inside the regulated banking perimeter, rather than a special-purpose trust parked at its edge.

A federally chartered bank that takes deposits and holds bitcoin under one roof is a first, not a variation.

The company frames its target as the “Fedwire dead zone” — the hours and rails where traditional bank settlement stops and crypto payments route around it. Whether that ambition includes bitcoin rails or leans mostly on stablecoins will not be clear until the products ship.

Why it counts anyway

For most of bitcoin’s life, U.S. banks kept it at arm’s length, and the firms that custodied it lived under limited-purpose charters that walled them off from ordinary banking. A full national charter erodes that wall. It puts digital-asset custody on the same regulatory footing as deposits and lending, supervised by the same national regulator, at a company whose backers expect it to compete with banks rather than sit beside them.

It is one preliminary approval with a nine-figure funding gate in front of it, and the bitcoin content is genuinely mixed with stablecoins and conventional banking. But the direction is unmistakable, and it rhymes with the week’s other news: a global bank trading bitcoin in Dubai, a U.S. regulator defending onshore bitcoin derivatives. The regulated financial system is no longer building fences around bitcoin. It is building doors.

Why it matters: a full bank charter would place bitcoin custody inside the deposit-taking banking system for the first time, not in the limited-purpose annex where regulators have kept it.
